Corporate Legal Services in India

Corporate Legal Services in India

Y&A Legal is a Delhi-based corporate law firm advising startups, founders, SMEs, and established companies across India on the full range of corporate legal work. Whether you are incorporating a new company, structuring a founding team’s equity, drafting commercial contracts, conducting due diligence on an acquisition, or navigating DPDP compliance for a data-driven business, our team handles the complete legal lifecycle of a company’s growth. We work with early-stage founders at the idea stage, with growth-stage companies preparing for their first institutional round, and with established businesses managing ongoing compliance and commercial relationships. Our practice is built around founders and business owners who need a law firm that moves at business speed, not one that takes weeks to respond to a contract review request. We are based in Delhi and work regularly with Delhi-based regulators and courts, but we advise companies and founders across India on corporate, commercial, and regulatory matters. MCA filings, investor documentation, FEMA advisory, and contract work are all handled remotely, and most of our pan-India corporate clients never need to be physically present for any part of the engagement.

How We Help

Company Incorporation & Entity Structuring

The choice of business structure, private limited company, LLP, OPC, or partnership, has long-term tax, governance, and fundraising implications. We advise founders on the right entity for their specific business, handle the MCA incorporation process end-to-end, and set up the initial legal framework, shareholder agreements, founders’ agreements, and share subscription documents, that protects all parties from the start.

Startup & Founder Legal Advisory

Early-stage legal work done correctly saves founders from expensive restructuring later. We advise startups on founder agreements, vesting schedules, ESOP pool creation, term sheet review, investment documentation, and pre-fundraising structuring. We act as outside counsel for startups across India, providing legal depth that was previously only accessible to companies that could afford large law firm retainers.

Commercial Contracts & Legal Retainers

Every business generates contracts, with customers, vendors, employees, and partners. We draft and review the full range of commercial agreements: service agreements, MSAs, NDAs, employment contracts, software licensing agreements, and distributor agreements. For companies with regular contracting needs, we offer a legal retainer arrangement that provides dedicated legal capacity at a predictable monthly cost.

Compliance, DPDP, POSH & Regulatory Advisory

Corporate compliance in India spans company law (MCA filings, board resolutions, statutory registers), data protection (DPDP Act compliance and privacy policy drafting), and workplace law (POSH Internal Committee setup and training). We advise companies on building compliance frameworks that are proportionate to their stage and risk profile, not over-engineered for a 10-person startup, and not under-engineered for a 500-person company.

Why Companies Choose Y&A Legal for Corporate Legal Services

Corporate legal work is often treated as a cost to minimise rather than an investment in the company’s foundation. The consequence is founders who discover at their Series A that their equity structure cannot accommodate institutional investors, or companies that receive a legal notice for a contract term they never understood they had agreed to. We work with founders from the start, not to generate legal fees, but to build a framework that holds up when it matters.

Most corporate legal work in India does not require a large-firm engagement. It requires a firm that understands your business, responds quickly, and charges fairly. We offer the legal sophistication that growing companies need, company law, contract law, IP, FEMA, DPDP, and POSH, in a practice designed for founders rather than general counsel departments.

Our corporate clients range from two-person startups choosing between a Pvt Ltd and an LLP, to Series B companies conducting compliance audits before a funding round, to established SMEs structuring M&A transactions. We give you a frank view of your legal position at each stage, including when a matter is straightforward enough to handle without us.

Frequently Asked Questions

What corporate legal services does Y&A Legal handle?

We advise companies on company incorporation and entity structuring, startup and founder agreements, contract drafting and review, due diligence, M&A structuring, ESOP plans, trademark registration, DPDP compliance, POSH compliance, FEMA advisory for NRI and foreign investment, and ongoing legal retainer services. We act as outside general counsel for companies that need comprehensive legal coverage without an in-house legal team.

Does Y&A Legal work with early-stage startups or only established companies?

We work across all stages, from pre-incorporation founder discussions through to growth-stage compliance and M&A. Our retainer arrangements are structured to be accessible to early-stage companies, and we offer fixed-fee services for standard matters like company incorporation and contract templates that make professional legal advice predictable in cost.

Can Y&A Legal act as outside general counsel for our company?

Yes. This is one of our core service arrangements. Under a legal retainer, we are available for your contracting needs, compliance questions, regulatory guidance, and ad hoc legal matters at a fixed monthly cost. Most retainer clients have no in-house lawyer, we effectively fill that role for the matters within our practice.

How do you charge for corporate legal services?

We charge on a fixed-fee basis for clearly scoped matters, incorporation, standard agreement drafting, POSH setup and on a retainer basis for ongoing advisory. We quote before starting any work, so there are no hourly billing surprises. For litigation matters, we provide a separate estimate.

How quickly can Y&A Legal turn around a contract review?

Standard contract reviews are returned within 2–3 business days. For urgent matters, a term sheet before a board meeting, a contract with a 24-hour deadline, we accommodate urgency with advance notice. Response time is built into the retainer arrangement; we do not charge a premium for urgency.
